Terms of Service
Between Octar (trading name of [Your Full Name]) (“the Service Provider”) and the Client named in the project proposal (“the Client”).
1. Scope of Services
Octar agrees to deliver AI-powered web design services as outlined in the signed proposal, quotation, or email confirmation. Any work outside the agreed scope will require a separate written quote or amendment.
2. Project Timeline
Timelines are provided at the time of booking and depend on the Client supplying all required content, assets, and feedback promptly. Delays caused by the Client may extend the delivery date without penalty to Octar.
Typical timelines:
- Diagnostic Audit: Same week delivery
- Website Build: Delivered within 3–5 working days of assets received
- Website Build + Copy: Delivered within 5–7 working days of brief sign-off
3. Payment Terms
- A non-refundable 50% deposit is required before any work begins. This secures the project slot and compensates for time and preparation work.
- The remaining 50% balance is due upon delivery of the staging site for Client review — not on go-live.
- All payments are made by bank transfer to the details on the invoice.
- Late payments may incur statutory interest and/or result in paused project work until payment is received.
4. Refunds and Cancellations
- The deposit is non-refundable once the project begins.
- If the Client cancels mid-project, all work completed to that point remains payable.
- If Octar cannot complete the project due to unforeseen circumstances, the Client will receive a proportional refund for undelivered work.
5. Revisions and Approvals
- Diagnostic Audit: No revision rounds (single Loom delivery and PDF).
- Website Build: 2 revision rounds included.
- Website Build + Copy: 2 revision rounds included.
- The Client has 5 business days per revision round to provide feedback. Failure to respond within this window may result in the project being marked complete.
- Additional revisions outside these rounds are charged at £75/hour or a pre-agreed fixed rate.
- Once final approval is given, further changes are considered new work.
6. Ownership and Intellectual Property
- Upon full payment, the Client owns the final live website and its approved deliverables.
- Octar retains the right to showcase completed work for portfolio and marketing purposes.
- Projects are built using AI-assisted tools including Claude (Anthropic) and v0 (Vercel). All outputs are commercially licensed and fully owned by the Client upon final payment.
- All third-party assets (fonts, stock images, software) remain under their respective licences.
7. Client Responsibilities
The Client agrees to:
- Provide all content (text, images, brand assets) by the agreed start date.
- Give timely feedback and approvals to maintain progress.
- Ensure they have the rights to any materials provided to Octar for use.
8. Confidentiality
Both parties agree to treat all project materials and correspondence as confidential. Octar may share visuals or snippets for portfolio purposes only after project completion and with client approval where sensitive.
9. Liability and Limitations
- Octar will provide professional-quality work to industry standards but cannot guarantee specific results such as search rankings, conversion rates, or third-party tool performance.
- Octar is not liable for indirect, incidental, or consequential losses related to use of the website or delay in delivery, including but not limited to loss of profits, loss of revenue, or loss of business.
- Total liability under this Agreement shall not exceed the total fees paid by the Client for the relevant project.
- Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be lawfully excluded under English law.
10. Termination
Either party may terminate this Agreement with written notice if the other party materially breaches these terms and fails to correct it within 7 days. Upon termination the Client pays for all completed work to date and the deposit remains non-refundable.
11. Governing Law
This Agreement is governed by the laws of England and Wales. Any disputes shall be handled by the courts of England and Wales.
12. Data Protection and GDPR
- Octar may collect and process limited personal data (names, email addresses, business information) solely for the purpose of fulfilling this Agreement, in accordance with UK GDPR and the Data Protection Act 2018.
- If the project involves a website that collects user data, the Client is the Data Controller and Octar acts as a Data Processor. The Client is responsible for their own privacy policy and lawful basis for data collection.
- Any client data, credentials, or personal information shared during the project will be deleted or anonymised within 30 days of project completion.
- In the event of a data breach involving client information, Octar will notify the Client promptly.
13. Acceptance
By proceeding with payment of the 50% deposit, or by responding to a proposal or email confirmation with written agreement, the Client confirms they have read and accepted these Terms in full. These Terms apply to all projects delivered by Octar Studio and are available at octarstudio.uk/terms.
